
Shipper-Broker Agreement

Scope of Services
The Broker arranges transportation of Shipper’s goods ("Cargo") via third-party carriers. The Broker is not responsible for direct transport.
Broker’s Responsibilities
- Select licensed and insured carriers
- Negotiate and arrange Cargo transportation
- Monitor shipments and provide updates
- Ensure carrier compliance with insurance and regulations
Shipper’s Responsibilities
- Provide accurate Cargo details (weight, dimensions, handling needs)
- Ensure legal and regulatory compliance
- Pay Broker fees via ACH or Wire Transfer within agreed terms
- File claims within 30 days of delivery issues
- Do not withhold unrelated payments due to disputes
Cargo Loss or Damage Claims
- Carrier is liable unless Broker is negligent
- Notify Broker within 2 days of issue
- File claims with Carrier within 3 days
- Broker assists but is not responsible for outcomes
- Shipper must secure additional insurance if needed
Limitation of Liability
- Broker not liable for Carrier actions, natural disasters, or Shipper misinformation
- Shipper responsible for compliance and accuracy
Indemnification
Each party indemnifies the other for losses from its own negligence or omissions.
Termination
Either party may terminate with 30 days’ notice. Termination doesn’t affect pending obligations.
Dispute Resolution
All cargo-related disputes shall be resolved via [mediation/arbitration/litigation] under Texas jurisdiction.
Governing Law
Governed by Texas law. Allen, TX courts have exclusive jurisdiction unless preempted by federal law.

Insurance – Contract Carriers
Carriers must hold $100,000 cargo insurance. Notify LLC if load exceeds this value.
Late Payments
Payment is due in 30 days if no terms are set. Late payments incur 2% monthly interest and collection fees.
Electronic Execution
Authorized individuals may sign electronically. LLC may contact credit/bank references.
Acceptance by Performance
Sending goods to LLC confirms acceptance of these terms by an authorized representative.
